By accessing or using the Web Site, you agree to the following Terms. You should review these Terms regularly as they may change at any time at the sole discretion of Los Angeles Cancer Network. If you do not agree to any portion of these Terms, you should not access or otherwise use the Web Site. “Content” refers to any text, materials, documents, images, graphics, logos, design, audio, video, and any other information provided from or on, uploaded to, and/or downloaded from the Web Site.

Los Angeles Cancer Network will make an effort to update this web page with any changes to these Terms and/or to the services described in these Terms and you are encouraged to review these Terms frequently (the date of the most recent revision to these Terms appears at the end of these Terms).

1. Convenience and Information Only; Acceptance of Terms.

By merely providing access to the Web Site, Los Angeles Cancer Network does not warrant or represent that: (a) the Content is accurate, complete, up-to-date, or current; (b) Los Angeles Cancer Network has any obligation to update any Content; (c) the Content is free from technical inaccuracies or typographical errors; (d) that the Content does not infringe on the intellectual property rights of any third party; (e) that the Content is free from changes caused by a third party; (f) your access to the Web Site will be free from interruptions, errors, computer viruses, or other harmful components; and/or (g) any information obtained in response to questions asked through, or postings made on, the Web Site is accurate or complete. Los Angeles Cancer Network provides the Web Site and the online service on a commercially reasonable basis and Los Angeles Cancer Network makes no representations or warranties that: (i) the Web Site, the online service, the Content, or any services offered in connection with the Web Site are or shall remain uninterrupted or error-free; (ii) that defects shall be corrected; (iii) that the web pages on the Web Site, the online service, and electronic communication, or the servers used in connection with the Web Site are or shall remain free from any viruses, worms, time bombs, drop-dead devices, Trojan horses, or other harmful component; or (iv) that any person using the Web Site will be the person that he or she represents himself or herself to be. Los Angeles Cancer Network does not guarantee that you will be able to access or use the Web Site and/or the online service at times or locations of your choosing, or that Los Angeles Cancer Network shall have adequate capacity for the Web Site and/or the online service as a whole or in any specific geographic area. (b) Indemnification. You agree to defend, indemnify, and hold Los Angeles Cancer Network and its affiliates, subsidiaries, owners, directors, officers, employees, and agents harmless from and against any and all claims, demands, suits, proceedings, liabilities, judgments, losses, damages, expenses, and costs (including without limitation reasonable attorneys’ fees) assessed or incurred by Los Angeles Cancer Network, directly or indirectly, with respect to or arising out of: (i) your failure to comply with these Terms; (ii) your breach of your obligations under these Terms; (iii) your use of the rights granted hereunder, including without limitation any claims made by any third parties; and/or (iv) your violation of any third party right, including without limitation any copyright, property, or privacy right. (c) Not Investment Advice. Los Angeles Cancer Network does not intend to provide any investment advice or information relating to itself or any Los Angeles Cancer Network identified on the Web Site. Nevertheless, the Web Site may, from time to time, contain information on the current or prospective financial condition of this and/or certain other companies. Los Angeles Cancer Network cautions that there are various important factors that could cause actual results to differ materially from those indicated in the information you may encounter on the Web Site. Accordingly, there can be no assurance that such indicated results will be realized. These factors include, among other things, legislative and regulatory initiatives regarding regulation of American companies doing business abroad; political and economic conditions and developments in the United States and in foreign countries in which the companies discussed on the Web Site operate; financial market conditions and the results of financing efforts; and changes in commodity prices and interest rates.

Because some States or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such States or jurisdictions Los Angeles Cancer Network's liability will be limited to the greatest extent permitted by law.

Los Angeles Cancer Network is committed to safeguarding your online privacy with respect to the personally identifiable information that we may obtain from you at the Web Site. This Privacy and Information Security Policy (“Privacy Policy”) answers frequently asked questions about your online privacy, including what personally identifiable information we may obtain from you and how it will be used and protected. Los Angeles Cancer Network may from time to time change this Privacy Policy, so please check back periodically.

a. No Collection of Information: The Web Site is created purely for the purpose of providing interested parties with information regarding Los Angeles Cancer Network. As such, your use is limited to browsing our informational content. We do not use cookies, provide any function allowing you to use the Website to directly contact us, or collect any personally identifiable information in any way. The Web Site does not store or maintain any information regarding visitors to the Web Site. However, parties not related to nor authorized by Los Angeles Cancer Network may unlawfully intercept or access private communications or files and consequently provide unauthorized information to unwanted parties. b. Privacy Policy of Los Angeles Cancer Network Partners: Third parties that have links on our Web Site may collect personally identifiable information about you. We are not responsible for the privacy policies or practices of such sites and the practices of these sites are not governed by this Privacy Policy. If you have questions about the privacy policies or practices of a third party site, you should contact the site administrator or web-master of the specific site. This Privacy Policy governs only information collected on Los Angeles Cancer Network's Web Site.

6. International Users.

Los Angeles Cancer Network makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the Web Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The provisions of the United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. 7. Governing Law; Venue and Jurisdiction.

By visiting or using the Web Site, you agree that the laws of the State of California, without regard to principles of conflict of laws, will govern these Terms and any dispute of any sort that might arise between you and Los Angeles Cancer Network or its affiliates. With respect to any disputes or claims, you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of Los Angeles County, California, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in the state and federal courts of Los Angeles County, California.

8. Violation of Terms.

You agree that Los Angeles Cancer Network may, in its sole discretion and without prior notice, terminate your access to the Web Site and/or block your future access to the Web Site if we determine that you have violated these Terms or other agreements or guidelines that may be associated with your use of the Web Site. You also agree that any violation by you of these Terms will constitute an unlawful and unfair business practice and will cause irreparable harm to Los Angeles Cancer Network for which monetary damages would be inadequate, and you consent to Los Angeles Cancer Network obtaining any injunctive or equitable relief that Los Angeles Cancer Network deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Los Angeles Cancer Network may have at law or in equity.

9. Severability.

If any of these Terms is deemed invalid, void, or for any reason unenforceable, that term will be deemed severable and will not affect the validity and enforceability of any remaining term.

10. Waiver.

No waiver of any term, provision, or condition of these Terms, whether by conduct or otherwise, in any one or more instances, will be deemed to be, or will constitute, a waiver of any other term, provision, or condition hereof, whether or not similar, nor will such waiver constitute a continuing waiver of any such term, provision, or condition hereof. No waiver will be binding unless executed in writing by the party making the waiver.
